There are two ways to work together, and the choice is yours. We are glad to co-broker — you represent the seller on the property, we represent them on the business. Or, if you would rather hand the whole thing over, we can pay you a referral fee on the entire transaction, the business as well as the real estate. Because we are a licensed Texas real estate brokerage and you are too, this is the one referral relationship where a fee is permitted.

No fee. No obligation to list. No engagement letter. Send us an owner who is thinking about selling and wants to know what their company is actually worth, and we prepare it at no charge — a real number instead of a rule of thumb, with you still the trusted advisor in the conversation that follows.
We ask for a short intake first, so the number we produce is worth the paper it is on. Businesses under $100,000 in Seller’s Discretionary Earnings, and businesses with less than five years of documented history, are more difficult to sell and to obtain third-party financing for, and we will tell you that early rather than late.
You make the introduction, and you stay on every conversation from there. We copy you on what we send your client and on what comes back. Nothing about the relationship happens around you.
And unlike every other referral relationship we have, this one can carry a fee. Texas law permits a real estate broker to pay a referral fee to another licensed broker, so if you would rather refer the whole transaction than co-broker it, we can compensate you on the business side as well as the property.
What this is worth to your practice

Selling the building without the business creates a vacancy.
The tenant is the owner. Marketing the real estate alone can leave a specialized building empty in a market that has few replacement users for it, while the operating company loses the location that made it work.

Real estate changes what the buyer can borrow.
SBA 7(a) and 504 treat real property differently from goodwill, with longer amortization on the real estate portion. Structured together, a combined purchase is often more financeable than the business alone — and the debt service math decides whether the deal closes.

Sale-leaseback keeps the asset when the owner wants it.
Some owners want out of the company and want to keep the building as retirement income. That only works if the lease is negotiated as part of the transaction, at market terms a buyer's lender will accept.

Section 1031 timing runs against the closing calendar.
Identification and exchange deadlines are unforgiving and do not adjust for a business sale that slips. Coordinating the two closings, and the allocation between them, has to be planned early.

The relationship does not end at the closing.
If you keep the real estate representation, the new owner may need space, an expansion, or an eventual sale of their own. You can also help the seller reinvest the proceeds from the sale into another real estate project. Referring the business side does not cost you the relationship — it usually creates a second one.

Step 1
Tell us the basics.
A short form: your details, the client's industry, rough revenue, why your client is thinking about an exit, and roughly when. Under a minute. Nothing is shared with your client at this stage.
Step 2
We send the intake questionnaire.
If the business is a fit for what we sell, we ask you to introduce us to the owner so we can discuss their situation and prepare a questionnaire for the valuation work. We keep you in the loop every step of the way.
Step 3
We prepare the Opinion of Value.
At no cost to your client, under confidentiality, once the questionnaire is back and the call has happened. A real number with the reasoning behind it, not a rule of thumb.
Step 4
You stay in the file.
If the owner moves forward, you are on the deal team from letter of intent through closing, where the structure and the tax outcome get decided.

Questions advisors ask
- Do you co-broke with commercial agents, or pay a referral fee?
- Either. We routinely work alongside the agent representing the property, and because both parties are licensed Texas real estate brokers, this is the one relationship where we can also pay a referral fee if you would rather refer the whole transaction than co-broker it.
- Can the business and property be marketed together?
- Yes, and usually they should be. We market the operating business confidentially and coordinate the real estate component with the agent already engaged.
- Does the Opinion of Value include the real estate?
- The Opinion of Value addresses the operating business. Where owner-occupied property is part of the transaction, we account for occupancy cost at market rent so the two are not double counted.
