We ask for a short intake first, so the number we produce is worth the paper it is on. Businesses under $100,000 in Seller’s Discretionary Earnings, and businesses with less than five years of documented history, are more difficult to sell and to obtain third-party financing for, and we will tell you that early rather than late.

You make the introduction, and you stay on every conversation from there. We copy you on what we send your client and on what comes back. Nothing about the relationship happens around you.

And no referral fee — in either direction. We do not pay them and we do not ask you to accept one. You are compensated by the client work the deal creates on both sides of it.

What this is worth to your practice

    Structure is negotiated before you are usually called.

    Asset versus stock, what the buyer assumes, how the price is allocated, whether any of it is an earn-out. A broker who runs a disciplined process raises those questions early enough that your client's counsel is in the conversation.

    Diligence problems are cheaper to fix in advance.

    Missing minutes, unassigned intellectual property, expired registrations, handshake vendor terms, unsigned employment and non-compete agreements. Every one of them is a repair job at diligence and a discount at closing.

    Leases and third-party consents kill more deals than price.

    Landlord consent, change-of-control clauses, licensing and permit transfers, franchisor approvals. Identifying them during preparation gives you months instead of a scramble during the option period.

    A prepared seller means shorter document cycles.

    When financials, contracts and corporate records are already organized, reps and warranties are easier to give, escrow negotiations narrow, and the definitive agreement stops being the place where diligence gaps get argued.

    The buyer needs Texas counsel too.

    Buyers in the $1 to $10 million range are frequently individuals or small groups new to the market who arrive without local counsel. Handled properly, one closing can leave you with the ongoing corporate work on the other side.

    A short form: your details, the client's industry, rough revenue, why your client is thinking about an exit, and roughly when. Under a minute. Nothing is shared with your client at this stage.

    We send the intake questionnaire.

    If the business is a fit for what we sell, we ask you to introduce us to the owner so we can discuss their situation and prepare a questionnaire for the valuation work. We keep you in the loop every step of the way.

  3. Step 3

    We prepare the Opinion of Value.

    At no cost to your client, under confidentiality, once the questionnaire is back and the call has happened. A real number with the reasoning behind it, not a rule of thumb.

  4. Step 4

    You stay in the file.

    If the owner moves forward, you are on the deal team from letter of intent through closing, where the structure and the tax outcome get decided.
